Foodservice Rewards® Fall 2005 Heat Up Your Winter Promotion OFFICIAL RULES AND GUIDELINES These Official Rules and Guidelines govern your participation in the Fall 2005 Restaurant Operator Sweepstakes Promotion sponsored by the Foodservice Rewards program (Sponsor). SWEEPSTAKES PROMOTION DETAILS NO ENTRY FEE. NO ENROLLMENT FEE. NO PURCHASE OBLIGATION NECESSARY TO PLAY OR WIN. VOID WHERE PROHIBITED. PROMOTION DATES: Sweepstakes begins on or about 12:01 a.m. (CST) on 10/10/2005, and ends at 11:59 p.m. (CST) on 12/31/2005. (the "Entry Period"). HOW TO ENTER: To earn a sweepstakes entry, eligible Members (as defined below) of foodservice establishments must enroll in Foodservice Rewards by completing a membership profile online at www.foodservicerewards.com, the Foodservice Rewards program Web site. The enrollment code provided on the letter and/or email received must be used during the online enrollment process to be registered in the sweepstakes. All entries must be received during the Entry Period. You may only enroll ONCE. Multiple enrollments will be inactivated. ELIGIBILITY: Participation in Foodservice Rewards is limited to foodservice operators including, but not limited to: Business and Industry, Education (Elementary/Secondary Schools, College/University), Healthcare (Hospital, Nursing Home), Restaurant & Bar (Fine Dining/White Tablecloth, Casual/Theme/Dinner House, Midscale/Family/Coffee Shop/Cafeteria), Limited/Quick Service, Bars/Taverns), Retail Hosts (Supermarket/Deli, Convenience Store, Bakery, Other Retail), Travel and Leisure (Recreation, Motel/Hotel/Resort/Lodging, Airline Catering, Cruises, Clubs and Caterers, Casino and Gaming), All Other (Vending/Office Coffee Service, Military, Correctional and Other On-Site) ("Members"). Enrollment is limited to foodservice operators located in the U.S. and U.S. territories only. Enrollment restricted where prohibited by law. Any individual enrolling in the Foodservice Rewards program, represents and warrants to Foodservice Rewards that (a) the individual is authorized on behalf of his/her employer to enroll the Member establishment in Foodservice Rewards; (b) Member has disclosed Members participation and receipt of rewards in Foodservice Rewards to Member's employer, if applicable; and (c) Member's participation in Foodservice Rewards does not conflict with any contractual restrictions or obligations of Member to any other party. By enrolling in the Foodservice Rewards program, Members expressly agree to receive promotional emails from the Foodservice Rewards program periodically. (Approximate Retail Value - $599.) Total approximate retail value of all prizes awarded in random drawing: $599. All entries meeting the requirements of these Official Rules will be entered into a drawing to be held at the end of the Promotion Period on or around 12/31/2005, by an independent judging organization whose decisions on all matters relating to this promotion are final and binding in all respects. Winners will be selected at random from all eligible entries received. Grand Prize Winner will be contacted by phone or email and will be required to sign and return the Affidavit of Eligibility and/or the Liability/ Publicity Release within 10 business days of notification or prize(s) will be forfeited and awarded to alternate selections(s). If a selected winner cannot be contacted, is ineligible, fails to claim a prize and/or where applicable an affidavit of eligibility and publicity/liability release is not timely received, is incomplete or modified, the prize may be forfeited and an alternate winner will be selected from remaining valid eligible entries timely submitted. Winners meeting all the eligibility requirements can expect to receive their prize within 4-6 weeks following the drawing. All federal, state, provincial and/or local taxes and duties are the winners' sole responsibility. Tax form 1099 will be issued when required by law. Limit one prize per person/email address/household. The odds of winning a prize depend on the total number of eligible entries received. No substitution, transfer or return of prizes is permitted. Sponsor may, at its sole discretion, substitute a prize for cash or a prize of equal or greater value. LEGAL: Participation in this Promotion constitutes participant's full and unconditional agreement to and acceptance of these Official Rules and Regulations ("Official Rules"). By participating in the Promotion, entrant warrants that he/she has complied with his/her employer's policy regarding acceptance of premiums or gifts. Entrant further warrants that he/she has informed his/her employer of entrant's participation in the Promotion. This Promotion is subject to all applicable federal, provincial, state and municipal laws and regulations. Each winner acknowledges and agrees that it shall be the winner's sole obligation to report all federal, provincial, state and municipal income, and to pay all taxes related thereto, for all prizes received from Sponsor pursuant to this Promotion Extension, if applicable. These rules govern all aspects of the Promotion and are binding on all participants. Each winner agrees to indemnify, defend and hold Sponsor harmless to the extent any obligations are imposed by law on Sponsor to pay any applicable federal, provincial, state and municipal taxes or similar items in connection with any cash award made to the winner by Sponsor. Sponsor and its agencies will not be responsible for: (a) any failure, error or interruption in any communication, transmission, network, or computer, or for any other errors of any kind, whether human, mechanical or electronic; (b) illegible, incomplete, late, lost, damaged, destroyed, delayed, postage due, or misdirected entries, responses, claim forms, or other correspondence, (c) any losses, liabilities, or damages of any kind, including but not limited to bodily injury and death, arising in connection with or as a result of any prize or any person's acceptance, possession, or use thereof, or from participation in the Promotion or for any condition caused by or events beyond Sponsor's control that may cause the Promotion to be disrupted or corrupted; or (d) any printing or typographical errors in any materials associated with the Promotion. Once submitted, entries become the sole property of Sponsor and will not be returned. Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Promotion in the event of fraud, technical or other difficulties or if the integrity of the Promotion is compromised without liability to the participants. Sponsor reserves the right to disqualify anyone suspected of falsifying any submitted information, acting in a fraudulent or deceptive manner or violating these Official Rules in any respect. Participants may not make any warranty or representation on behalf of Sponsor, nor make any representation or statement whatsoever regarding the Promotion that is inconsistent with the information published by Sponsor. By participating in the Promotion, each participant agrees to be bound by the Promotion Official Rules and Guidelines. Participants also agree to release and indemnify, defend and hold harmless Sponsor and the employees, officers, directors, shareholders, agents, representatives of Sponsor, its parent companies, affiliates, and subsidiaries, harmless from any and all losses, damages, rights, claims and actions of any kind in connection with the Promotion or resulting from acceptance, possession, or use of any prize, including without limitation, personal injury, death, and property damage, and claims based on publicity rights, defamation, or invasion of privacy. Employees of Sponsor and their respective parent companies, affiliates, subsidiaries and their respective parent companies, advertising, promotion and fulfillment agencies and members of their immediate families and persons living in their same household are not eligible to enter this Promotion. ADDITIONAL CONDITIONS: Except where prohibited, by accepting any prize, winner consents to the use of his/her name, photo and/or likeness, biographical information, winning entry and statements attributed to winner (if true) for advertising and promotional purposes without additional compensation. All trademarks, logos and service marks displayed on the Foodservice Rewards Web site are registered and unregistered Trademarks of Foodservice Rewards, its sponsors and/or third parties who have authorized their use (collectively the "Trademarks").
